ORQADOS

Terms of Service

Effective date: 5 September 2026

These Terms of Service ("Terms") govern access to and use of the ORQADOS platform at app.orqados.com and related websites, applications, features and services (collectively, "ORQADOS" or the "Service").

The Service is operated from Singapore by the legal entity identified on the ORQADOS website or applicable order form ("ORQADOS", "we", "us" or "our").

By creating a workspace, accepting an invitation, signing in to, purchasing, or otherwise using the Service, you agree to these Terms: (a) on your own behalf; and (b) where you act for a company, partnership, organisation or other entity, on behalf of that entity (the "Customer"), and you represent that you have authority to bind the Customer.

If you do not agree to these Terms, you must not use the Service.

1. The Service

ORQADOS is an AI-assisted business communication, workflow and orchestration platform. Depending on configuration, the Service may connect and coordinate: authorised users; AI assistants; customer-provided business knowledge; contacts and relationship records; leads and customer records; WhatsApp messaging through Meta's WhatsApp Business Platform; calendars; connected third-party services; workflows; approvals; nurture and outreach programmes; and reporting and operational tools.

Feature availability may vary by plan, entitlement, workspace configuration, geography, third-party provider availability and applicable channel rules. ORQADOS may introduce, modify, suspend or retire features from time to time in accordance with these Terms.

2. Accounts, eligibility and authority

You must: be at least 18 years old; provide accurate and current account information; be authorised to act for the Customer where applicable; and safeguard account credentials and authentication methods.

The Customer is responsible for: users invited to its workspace; assigning appropriate roles and permissions; actions taken through authorised Customer accounts; maintaining the security of its own devices and credentials; and promptly notifying ORQADOS of suspected unauthorised access.

Workspace owners and authorised administrators control workspace configuration, permissions, module activation and connected-service access. The Customer is responsible for ensuring that access granted to its personnel is appropriate.

3. Customer Data and lawful authority

The Customer may submit, upload, import, connect, transmit or otherwise make available data through the Service, including contact information, message content, conversation history, documents, business knowledge, calendar information, CRM data, agent or client records and connected-account data (collectively, "Customer Data").

The Customer represents and warrants that it has all rights, permissions, consents and lawful bases necessary to: (a) provide Customer Data to ORQADOS; (b) instruct ORQADOS to process Customer Data for the Customer's purposes; and (c) use the Service in relation to the individuals represented by that data.

The Customer must not upload or process personal data through ORQADOS where doing so would violate applicable law, contractual obligations or third-party rights. Importing or classifying a contact in ORQADOS does not, by itself, establish marketing consent.

4. Data protection roles

Where ORQADOS processes personal data solely on behalf of and for the purposes of a Customer, ORQADOS may act as a data intermediary within the meaning of Singapore's Personal Data Protection Act 2012 ("PDPA"), or an equivalent processor role under applicable data-protection law.

The Customer remains responsible for determining: the purposes for which it collects, uses and discloses personal data; whether it has the necessary legal basis or consent; its communications with individuals; the lawfulness of its marketing and outreach activities; and its own compliance obligations.

ORQADOS may separately process limited personal data for its own legitimate business purposes, including account administration, security, fraud prevention, service operations, billing, legal compliance, support and service reliability, as further described in the Privacy Policy.

Nothing in this section relieves either party of obligations imposed on it by applicable law.

5. Customer responsibilities — contact, consent and outreach

The Customer is responsible for contacts and audiences used through its workspace and for establishing a lawful basis for communications. This includes compliance with applicable laws and regulations, including where relevant: the Singapore PDPA; applicable Do Not Call requirements; the Spam Control Act; consumer-protection requirements; and provider/channel messaging policies.

The Customer must not use ORQADOS to send communications to individuals where such communications are unlawful or prohibited. Valid opt-out and do-not-contact instructions recorded through ORQADOS are subject to the Service's suppression controls. The Customer must not attempt to bypass, defeat, erase or circumvent those controls.

The Customer remains responsible for: campaign configuration; audience selection; instructions provided to AI assistants; content the Customer approves; content the Customer configures for automated delivery; and ensuring that its intended use is lawful.

6. WhatsApp and Meta platform terms

WhatsApp functionality is provided through Meta's WhatsApp Business Platform and remains subject to Meta's applicable terms, policies, technical requirements and account rules. The Customer must comply with those requirements when using WhatsApp functionality through ORQADOS.

Where Meta requires an approved template for a business-initiated message, ORQADOS will use an eligible provider-approved template through supported workflows. Template submission, approval, categorisation, pricing, messaging limits, quality ratings, phone-number status, account restrictions and provider policy decisions are controlled by Meta and may change independently of ORQADOS.

ORQADOS does not guarantee: template approval; continued availability of any Meta account or phone number; delivery of any WhatsApp message; particular messaging limits; pricing; or uninterrupted availability of Meta services.

ORQADOS must not be used to circumvent or attempt to circumvent Meta's messaging policies, restrictions, technical controls or applicable usage requirements.

ORQADOS is not affiliated with, endorsed by, or sponsored by Meta or WhatsApp unless expressly stated otherwise.

7. Acceptable use

The Customer and its users must not use the Service to:

  • send spam or communications without an appropriate lawful basis;
  • harass, threaten, stalk or abuse individuals;
  • deceive, defraud or impersonate others unlawfully;
  • send unlawful, infringing, malicious or harmful content;
  • facilitate unlawful discrimination;
  • violate privacy, data-protection or intellectual-property rights;
  • probe, scan, attack or disrupt ORQADOS or another customer's systems;
  • attempt to gain unauthorised access to another workspace;
  • bypass access controls, DNC controls, approval gates or provider restrictions;
  • introduce malware or malicious code;
  • scrape or harvest data unlawfully;
  • use the Service in breach of connected-provider terms;
  • resell, sublicense or make the Service available to third parties except as expressly authorised by ORQADOS;
  • misrepresent AI-generated content where such misrepresentation is unlawful; or
  • use the Service for unlawful or fraudulent activity.

ORQADOS may investigate suspected misuse and may restrict or suspend affected functionality where reasonably necessary.

8. AI-assisted features

ORQADOS uses artificial-intelligence models and related technologies to assist with functions such as drafting messages, summaries, classifications, recommendations, suggested actions, workflow assistance, business-knowledge retrieval and conversational responses.

AI-generated output may be inaccurate, incomplete, outdated or unsuitable for a particular purpose. The Customer is responsible for determining whether AI output is appropriate for its intended use.

ORQADOS provides configurable approval, automation and human-control mechanisms depending on the workflow, connected service and Customer configuration. Where the Customer configures a workflow to operate automatically, the Customer remains responsible for that configuration and the resulting authorised use of the Service.

AI output does not constitute legal, financial, tax, investment, medical, property, regulatory or other professional advice. The Customer should obtain appropriate professional advice where required.

9. Connected third-party services

The Customer may connect third-party platforms and services, including Meta, WhatsApp, Google and other supported providers. By connecting a service, the Customer authorises ORQADOS to access and use that connected service, within the permissions granted by the Customer, for the purpose of providing the requested ORQADOS functionality. Use of a connected service remains subject to that provider's terms and policies.

ORQADOS is not responsible for: provider outages; API restrictions; provider policy changes; provider account suspension; provider pricing changes; provider data availability; provider security incidents; or functionality removed or changed by the provider, except to the extent responsibility cannot lawfully be excluded.

The Customer may disconnect supported connected services through the Service or applicable provider controls. See Data Deletion & Account Removal.

10. Customer Data ownership

As between the parties, the Customer retains its rights in Customer Data. The Customer grants ORQADOS a non-exclusive, worldwide, limited licence to host, copy, transmit, process, transform and otherwise use Customer Data only as reasonably necessary to: provide the Service; perform Customer instructions; maintain security; prevent abuse; troubleshoot; provide support; comply with law; and exercise ORQADOS's rights under these Terms.

This licence ends when the relevant Customer Data is deleted, subject to lawful retention, backups, security records and other limited retention described in the Privacy Policy and Data Deletion page.

11. Service data

ORQADOS may generate technical, operational and service data arising from use of the Service, such as logs, performance metrics, audit events, error information, usage statistics and security telemetry. ORQADOS may use such data to operate, secure, maintain and improve the Service, provided that ORQADOS does not use Customer confidential information in a manner that identifies the Customer publicly without permission.

Any processing of personal data within such information remains subject to the Privacy Policy and applicable law.

12. ORQADOS intellectual property

ORQADOS and its licensors retain all rights, title and interest in the ORQADOS platform, software, source code, workflows, orchestration logic, interfaces, designs, documentation, trademarks, branding, proprietary methodologies and related intellectual property.

Except for the limited right to use the Service during the applicable subscription or permitted access period, no intellectual-property rights are transferred to the Customer.

Feedback or suggestions voluntarily provided to ORQADOS may be used to improve the Service without restriction or payment, provided ORQADOS does not disclose Customer confidential information in doing so.

13. Confidentiality

Each party may receive non-public information from the other that is confidential by nature or reasonably understood to be confidential ("Confidential Information"). Each party will: use reasonable care to protect the other's Confidential Information; use it only for purposes connected with the Service and the parties' relationship; and disclose it only to personnel, advisers and service providers who need to know it and are subject to appropriate confidentiality obligations.

Confidentiality obligations do not apply to information that: is or becomes public without breach; was lawfully known without restriction; is independently developed without use of the other party's Confidential Information; or is lawfully received from a third party without confidentiality restriction.

A party may disclose Confidential Information where required by law, court order or regulatory authority.

14. Security

ORQADOS maintains technical and organisational safeguards designed to protect the Service and Customer Data. No online service can guarantee absolute security.

The Customer remains responsible for: protecting its credentials; securing devices used to access ORQADOS; managing authorised users; securing connected third-party accounts; and promptly reporting suspected compromise.

Additional information is available at Security & Trust.

15. Fees, billing and taxes

Paid plans, subscriptions and usage charges are as stated at purchase, in the applicable order form or in the relevant subscription terms. Unless stated otherwise: fees are exclusive of applicable taxes; the Customer is responsible for applicable taxes other than taxes imposed on ORQADOS's income; and payment obligations are non-cancellable and non-refundable except where required by law or expressly agreed otherwise.

Third-party fees may apply independently. Examples include Meta messaging charges, provider charges, telecommunications charges and third-party API usage. Where ORQADOS collects a third-party usage charge on behalf of or as part of the Service, the applicable pricing will be disclosed through the relevant subscription, order or usage arrangement.

16. Free, trial, beta and preview features

ORQADOS may make certain features available as free, trial, beta, preview, experimental or early-access functionality. Such functionality may: change without notice; contain errors; be incomplete; have limited support; be discontinued; or be subject to additional conditions.

Unless expressly agreed otherwise, beta and preview functionality is provided without service-level commitments.

17. Availability, maintenance and changes

ORQADOS aims to provide a reliable Service but does not guarantee uninterrupted or error-free availability unless a separate written service-level agreement applies. The Service may be unavailable due to: maintenance; security measures; infrastructure failures; third-party provider outages; internet or telecommunications failures; force majeure events; or circumstances outside ORQADOS's reasonable control.

ORQADOS may update or modify features over time. For paid subscriptions, ORQADOS will use reasonable efforts not to materially reduce the core functionality of the purchased Service during the applicable paid term without reasonable notice, except where a change is required for security, legal compliance, provider requirements, abuse prevention or circumstances outside ORQADOS's reasonable control.

18. Suspension

ORQADOS may suspend or restrict access to all or part of the Service where reasonably necessary to: address a material breach of these Terms; prevent suspected fraud or abuse; protect security; respond to a provider restriction; comply with law or regulatory obligations; enforce DNC or messaging-policy requirements; prevent harm to ORQADOS, customers or third parties; or address overdue fees where applicable.

Where reasonably practicable, ORQADOS will provide notice of suspension. ORQADOS may act without prior notice where immediate action is reasonably necessary for security, legal compliance or abuse prevention.

19. Termination

The Customer may stop using the Service at any time and may cancel paid services in accordance with the applicable subscription terms.

Either party may terminate an applicable agreement for material breach if the breach is not remedied within a reasonable cure period after written notice, where the breach is capable of remedy.

ORQADOS may terminate immediately where: continued service would be unlawful; serious abuse or fraud has occurred; provider access essential to the Service has been permanently withdrawn; the Customer materially compromises platform security; or immediate termination is otherwise reasonably necessary to protect users or the Service.

Upon termination: the Customer's right to use the Service ends; connected services may be disconnected; outstanding payment obligations remain due; Customer Data will be handled in accordance with the Privacy Policy and Data Deletion process; and provisions intended to survive termination remain effective.

20. Disclaimers

To the maximum extent permitted by applicable law, and except as expressly stated in these Terms or another written agreement, the Service is provided on an "as is" and "as available" basis.

ORQADOS does not warrant that: the Service will be uninterrupted; every error will be corrected; third-party services will remain available; AI output will be accurate; communications will be delivered; a particular business outcome will be achieved; or the Service will meet every Customer requirement.

Any warranties, representations, conditions or terms implied by law are excluded only to the extent they may lawfully be excluded.

21. Limitation of liability

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

Subject to that, neither party will be liable to the other for any indirect, incidental, special, exemplary or consequential loss, or for loss of profits, revenue, anticipated savings, business opportunity, goodwill or reputation, arising out of or in connection with the Service, except where such exclusion is prohibited by law.

To the maximum extent permitted by law, ORQADOS's total aggregate liability arising out of or relating to the Service and these Terms will not exceed: (a) the total fees paid or payable by the Customer to ORQADOS for the Service during the twelve months immediately preceding the event giving rise to the claim; or (b) where no fees were paid, SGD 100.

Where applicable law subjects a limitation or exclusion of liability to a requirement of reasonableness, that limitation or exclusion applies only to the extent that it satisfies that requirement.

22. Indemnity

To the extent permitted by law, the Customer will indemnify ORQADOS against third-party claims, regulatory actions, losses, liabilities, damages and reasonable costs arising directly from: Customer Data supplied without lawful authority; unlawful outreach or messaging initiated or configured by the Customer; Customer message content; the Customer's material breach of applicable messaging laws or provider policies; infringement of third-party intellectual-property rights by Customer Data or Customer-provided content; or the Customer's material misuse of the Service.

This indemnity does not apply to the extent a claim results from ORQADOS's own breach of these Terms, negligence, wilful misconduct or violation of applicable law.

ORQADOS will provide reasonable notice of an indemnified claim where practicable and will not unreasonably prejudice the Customer's ability to participate in the defence or settlement.

23. Privacy

ORQADOS processes personal data in accordance with its Privacy Policy. The Privacy Policy explains, among other things: categories of personal data processed; purposes of processing; connected-service data; third-party providers; retention; deletion; security; individual rights; and contact details for privacy requests.

24. Electronic communications

The parties agree that contractual notices, confirmations, approvals and other communications may be provided electronically where permitted by applicable law. Use of electronic records or communications will not, by itself, affect their validity or enforceability.

25. Notices

Notices to the Customer may be provided through: the Service; the Customer's registered email address; or another contact method supplied by the Customer.

Legal notices to ORQADOS should be sent to [email protected] until ORQADOS designates a separate legal-notice address.

A notice is considered received when delivered through the applicable electronic channel, subject to applicable law.

26. Changes to these Terms

ORQADOS may update these Terms from time to time. For material changes, ORQADOS will provide reasonable notice through the Service, by email or by another appropriate means before the revised terms take effect, unless an earlier change is required by law, security or a third-party provider. The revised Terms will state their effective date.

Continued use of the Service after the revised Terms take effect constitutes acceptance where permitted by law. If the Customer does not agree to a material change, it may stop using the Service and cancel affected paid services subject to any applicable order terms.

27. Force majeure

Neither party will be liable for delay or failure to perform an obligation, other than payment obligations, to the extent caused by events beyond that party's reasonable control. Such events may include: natural disasters; war; civil disorder; governmental action; telecommunications failure; internet failure; widespread cloud-provider outage; labour disruption; epidemic or pandemic; cyberattack by third parties; or failure of a critical third-party platform.

The affected party must use reasonable efforts to mitigate the impact.

28. Assignment

The Customer may not assign or transfer its rights or obligations under these Terms without ORQADOS's prior written consent, except as part of a bona fide merger, acquisition or sale of substantially all of the Customer's relevant business or assets, provided the successor agrees to be bound by these Terms.

ORQADOS may assign these Terms as part of a corporate restructuring, merger, acquisition, financing, sale of business or transfer of substantially all relevant assets, provided that the assignee assumes ORQADOS's applicable obligations.

29. Order of precedence

If the Customer has entered into a separately signed order form, enterprise agreement, data-processing agreement or other written agreement with ORQADOS, that agreement will prevail over these Terms to the extent of any express inconsistency. Otherwise, these Terms govern use of the Service.

30. Entire agreement

These Terms, together with the Privacy Policy, any applicable order form, subscription terms, data-processing agreement and other terms expressly incorporated by reference, constitute the agreement between the parties concerning the Service and supersede prior discussions or representations concerning the same subject matter.

31. Severability

If any provision of these Terms is held invalid, unlawful or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable where possible. The remaining provisions will continue in effect.

32. Waiver

A failure or delay by either party to exercise a right under these Terms does not waive that right. A waiver is effective only if given expressly.

33. No partnership or agency

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or general agency between ORQADOS and the Customer. ORQADOS acts as the Customer's service provider only to the extent necessary to perform authorised Service functions.

34. Third-party rights

Unless expressly stated otherwise, a person who is not a party to these Terms has no right to enforce them.

35. Governing law and jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction, subject to any different dispute-resolution mechanism expressly agreed in a signed enterprise agreement.
